Subscription Agreement

1. Scope and Parties

1.1 This Subscription Agreement ("Agreement") governs the purchase and use of paid Quest subscription plans and the continued use of the Quest platform on the Free Tier following cancellation, expiry, or downgrade.

1.2 Quest is a product of Canine Safaris Ltd, incorporated under the Companies Act, 2012 of Uganda. All intellectual property, platform rights, and commercial rights in Quest remain vested in Canine Safaris Ltd.

1.3 Canine Safaris LLC, a wholly-owned subsidiary registered in New Mexico, United States of America, acts as the billing and payment-processing affiliate. Canine Safaris LLC may issue invoices, charge the payment method on file, receive subscription funds, and administer refunds or credits on behalf of Canine Safaris Ltd. Payment to Canine Safaris LLC discharges your obligation to Canine Safaris Ltd.

3. Subscription Plans and Pricing

3.1 Quest offers the following subscription tiers. Unless a separate enterprise quotation applies, standard pricing is:

3.2 All fees are stated in UGX and are exclusive of taxes, bank fees, currency conversion, digital service taxes, withholding taxes, or similar charges, unless mandatory law requires otherwise.

3.3 Quest may adjust pricing under clause 10. Current pricing is published at questheaven.com/pricing.

3.4 Plan features for tour operators

The table below describes Quest features for Uganda tour operators as of the Last updated date on this page. During the Trial Period, treat the "Pro" column as included. Pro Monthly and Pro Annual include the same features; only billing cycle differs. If the pricing page describes a feature differently, the pricing page controls for new subscriptions.

"Included" means the feature is available on that tier under normal use limits published on the platform. Quest may add, improve, or retire features over time with reasonable notice where required by law or this Agreement.

4. Billing Authorisation

4.1 By subscribing to a Pro Plan, you authorize Quest and its payment processor to charge your selected payment method for subscription fees, renewals, applicable taxes, approved administrative costs, and other amounts due under this Agreement.

4.2 Payments are processed through Stripe. You acknowledge Stripe's terms and that billing, renewals, payment method management, and cancellation may be administered through the Stripe customer portal.

4.3 You must provide accurate billing information and promptly update card details, billing address, tax information, contact details, or payment method.

5. Invoicing and Payment Terms

5.1 Pro Monthly subscriptions are billed in advance on the start date and each monthly renewal. Pro Annual subscriptions are billed in full in advance on the start date and each annual renewal.

5.2 Unless otherwise stated in writing, card-based plans are due immediately upon charge; invoiced plans approved by Quest are due within seven (7) calendar days.

6. Automatic Renewal

6.1 Pro subscriptions automatically renew for successive Billing Periods unless you cancel before the next renewal date through account settings, the Stripe customer portal, or another approved method.

6.2 Quest will use reasonable efforts to make renewal terms, pricing, and cancellation pathways clear at checkout and in the account billing experience.

7. Cancellation and Plan Downgrade

7.1 You may cancel a Pro subscription before the next renewal date through billing settings or the Stripe customer portal. Cancellation takes effect at the end of the current Billing Period.

7.2 When cancellation takes effect, your account is not deleted. It automatically downgrades to the Free Tier (clause 14). Quotes, content, and pricing work from the Pro period remain accessible.

7.3 Except where required by law or agreed in writing, Quest does not provide prorated refunds after a renewal charge. You keep full Pro access until the end of the current Billing Period.

8. Refunds

8.1 Refunds are generally not provided for change of mind, partial use, failure to cancel before renewal, inactivity, or customer-side technical limits not caused by Quest.

8.2 Quest may provide a refund, credit, or adjustment for duplicate payment, manifest billing error, or material failure to provide the paid service where required by law or at our discretion.

8.3 Approved refunds are processed to the original payment method where possible, subject to Stripe's timelines.

9. Failed Payments and Suspension

9.1 If payment is declined, reversed, disputed, or unpaid, Quest may retry the charge, request an updated payment method, suspend Pro access, downgrade to the Free Tier, or terminate the Pro subscription after reasonable notice where appropriate.

9.2 Downgrade for failed payment does not delete the account or content. You may reactivate Pro by updating payment and resubscribing.

9.3 Quest may charge reasonable administrative costs for chargebacks, reversals, or repeated failed payments where permitted by law and disclosed.

10. Price Changes

10.1 Quest may revise fees prospectively with reasonable prior notice through the account, website, invoice, or registered contact details. Changes apply on the next renewal date and do not affect a prepaid current Billing Period unless required by law.

11. Taxes

11.1 You are responsible for taxes, duties, and government charges on the subscription except taxes on Quest's net income. Where withholding applies, you shall provide required documentation and cooperate in good faith.

12. Trial Period and Free Tier Entry

12.1 New Quest accounts receive one (1) month of full Pro access at no charge (the "Trial Period"), including every feature marked "Included" in the Pro column of clause 3.4.

12.2 At the end of the Trial Period, the account automatically transitions to the Free Tier unless you subscribed to a paid Pro Plan. There is no automatic conversion to a paid plan and no charge at trial end.

12.3 Quest may modify, shorten, or discontinue the Trial Period offer for new registrations, with or without prior notice. Changes do not affect trials already in progress.

12.4 The Free Tier remains available after the Trial Period and after cancellation of a prior Pro subscription.

13. Upgrades, Downgrades, and Plan Changes

13.1 You may upgrade from Free to Pro, switch between Pro Monthly and Pro Annual, or downgrade from Pro to Free.

13.2 Upgrades take effect immediately or on the next billing date; prorated amounts may be charged or credited.

13.3 Downgrades from Pro to Free take effect at the end of the current Billing Period. Pro features remain until that date.

14. Account Status Following Cancellation, Downgrade, or Expiry

14.1 When a Pro subscription is cancelled, not renewed, or expires (including failed payment), your Quest account is not deleted. It continues on the Free Tier. Quotes, itineraries, client records, content library items, and pricing work remain stored and accessible.

14.2 Free Tier feature restrictions

After downgrade to the Free Tier:

14.3 You are not required to export data before cancelling Pro. You may access, edit, and continue using previously created content under Free Tier terms.

14.4 You may reactivate Pro anytime through account settings or the billing portal. Full Pro features restore on payment confirmation.

14.5 Inactive Free Tier accounts

Quest may deactivate Free Tier accounts with no login for twenty-four (24) continuous months, subject to the Privacy Policy. Before deactivation:

• (a) Quest sends notice to the account email at least thirty (30) days before deactivation;
• (b) the notice states the deactivation date and invites login to retain the account; and
• (c) you may log in and export data during the notice period.

15. Governing Law and Disputes

15.1 This Agreement is governed by the laws of Uganda, without prejudice to mandatory consumer-protection rights. Disputes are handled under the Terms and Conditions or any signed order form.
